My corporate practice covers the full life-cycle of a business.  I provide advice to entrepreneurs starting their business, helping with issues such as choice of entity, business jurisdiction, shareholder agreements and governance decisions.  As the business grows, I can help you with finance, vendor, employee and real estate agreements.  I frequently get involved in human resource issues such as employee termination.  I help businesses create, license and dispose of intellectual property.

Representative Matters

• Create technology company started by several founders. Provide shareholder agreement, employment agreements, intellectual property assignments and equity plan for issuing options to future employees.  File Sub-chapter S election to IRS; obtain trademark protection for company name.

• Convert a corporation incorporated in one state into a limited liability company of another state; maintain name & tax-id, provide for continuity of identity.

• Counsel successful start-up through acquisition by third-party. Represent both company and founders to achieve optimum results for company shareholders and founders.

• Counsel 100 member limited liability company with respect to complicated distribution of escrowed funds to obtain favorable tax treatment for members.
